3. Service Agreements
Specific terms, pricing, deliverables, and timelines for individual services are outlined in separate service agreements or proposals provided to you before work begins. Those agreements, along with these Terms of Service, govern the relationship between you and TechMitten. In the event of a conflict between a service agreement and these Terms, the service agreement shall prevail.
4. Pricing and Payment
- Monthly Plans: IT support plans are billed monthly in advance. All plans are month-to-month with no long-term commitment unless otherwise specified in your service agreement.
- Custom Projects: Web design, development, and app projects are quoted individually. Website projects are split into 50% to start and 50% at launch payments. For other custom projects, a deposit may be required before work begins, with the remainder due upon completion or per the milestone schedule in your proposal.
- Late Payments: Invoices not paid within 30 days of the due date may incur a late fee of 1.5% per month on the outstanding balance.
- Price Changes: We reserve the right to adjust pricing with 30 days' written notice. Existing clients will be notified before any changes take effect.
5. Cancellation and Termination
- Monthly Services: You may cancel any monthly service plan at any time with 30 days' written notice. Services will continue through the end of the current billing period.
- Custom Projects: Either party may terminate a project with 14 days' written notice. You are responsible for payment for all work completed up to the termination date.
- For Cause: TechMitten reserves the right to suspend or terminate services immediately if a client engages in illegal activity, abuse toward our team, or material breach of these terms.
6. Intellectual Property
- Client Content: You retain full ownership of all content, branding, data, and materials you provide to us for use in your projects.
- Custom Work Product: Upon full payment, you own all custom-designed and custom-developed deliverables (websites, apps, designs) created specifically for you. TechMitten retains no ownership interest in the final work product.
- Third-Party Components: Projects may include open-source software, licensed fonts, stock photography, or other third-party components subject to their respective licenses. TechMitten will inform you of any such components and their license requirements.
- TechMitten Property: Our proprietary tools, frameworks, methodologies, and pre-existing intellectual property remain ours. We may use general knowledge, skills, and experience gained during your project in future work.

8. Limitation of Liability
To the maximum extent permitted by applicable law:
- TechMitten's total liability arising from or related to our services shall not exceed the total amount you have paid us in the 12 months preceding the claim.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
- We are not responsible for downtime, data loss, or security breaches caused by factors outside our reasonable control, including but not limited to third-party service outages, force majeure events, or client negligence.
